Corporate Mid-Level – Private Credit
We are seeking attorneys for associate positions in Cahill Gordon & Reindel’s New York office for our Private Credit practice group. Candidates should have at least three years of experience in corporate work, with substantial exposure to private credit transactions including with direct lenders, private credit funds, and other institutional investors and investment banks in corporate finance transactions, leveraged buyouts, acquisition financings and recapitalization transactions.
Preferred candidates will have experience in structuring and executing traditional first lien, unitranche, stretch senior, second lien and subordinated loan transactions, structured equity investments, including non-traditional preferred stock financings, and equity co-investments.
Candidates must have excellent oral and written communication skills, a strong academic background and be admitted to the New York Bar.

Compensation: The anticipated salary we expect to pay to associates is as follows:
Fourth-year associates: $310,000
Fifth-year associates: $365,000
Sixth-year associates: $390,000

Mid-Level Associate
Cahill Gordon & Reindel LLP seeks a Mid-Level Associate in New York, NY to draft credit agreements and amendments to loan facilities for secured lending transactions. Requires a Juris Doctor degree or equivalent and two (2) years of experience drafting purchase agreements, indentures, security documents, and closing certificates for high-yield note offerings; preparing security documentation, intercreditor agreements, exhibits and ancillary documentation for loan transactions; reviewing commitment, fee and engagement letters, and acquisition agreements, and conducting diligence processes for committed financings; preparing dealer manager, consent solicitation agent and similar agreements for tender offers and other liability management transactions; preparing and reviewing legal opinions, certificates and other ancillary documentation for debt financings including secretary’s certificates, officer’s certificates, incumbencies, borrowing notices and solvency certificates; conducting and managing due diligence (“comfort” and “backup”) processes and reporting on findings to clients; reviewing borrowers’ existing credit facilities and debt instruments for refinancing and preparing and reviewing relevant payoff documents; and researching and interpreting securities law, Universal Commercial Code, the General Corporation Law of the State of Delaware, the Limited Liability Company Act of the State of Delaware, and the New York Limited Liability Company Law. Associate
Cahill Gordon & Reindel LLP seeks an Associate in New York, NY to work within the Cahill NXT practice to support clients with the resolution of legal matters relating to digital assets and the use of emerging technologies. Requires a Juris Doctor degree or equivalent and two (2) years of experience advising public companies, private companies, and private equity firms in domestic and cross-border transactions including public and private M&As, joint ventures, carve-outs, and other general corporate matters; drafting and negotiating term sheets, non-disclosure agreements, main transaction documents, and ancillary agreements in various mergers, acquisitions, and divesture transactions on both acquirer and target sides; drafting proxy statements, registration statements, and SEC filings in connection with initial public offerings, De-SPAC transactions, and SEC filings including 10-Ks, 10-Qs and 8-Ks for public companies; advising clients on business transactions including securities law compliance, directorial duties, and exchange listing requirements; identifying and solving complex legal issues in the area of mergers, acquisitions, initial public offerings, SPACs public and private financings, or spin-offs; drafting legal documents including primary and ancillary transaction documents; reviewing legal documents including organizational documents, shareholder agreements, voting agreements, and material contracts; preparing due diligence reports including coordinating with specialists on respective sections and drafting corporate diligence documents; reviewing due diligence documents, including tracked supplemental requests, and reporting on diligence findings; and utilizing Litera to proofread legal documents and Deal Point Data and Intelligize to conduct legal research. Non-Equity Partner
Cahill Gordon & Reindel LLP seeks a Non-Equity Partner in New York, NY to originate and manage complex legal financing matters across the firm’s core practice areas. Requires a Juris Doctor degree, Master of Laws degree, or equivalent and eight (8) years of experience providing legal services in connection with a wide range of U.S. and international financing transactions, including leveraged financings, investment grade financings, asset-based loans, bridge financings, debtor-in-possession financings, corporate restructurings, and corporate recapitalizations; drafting, reviewing, and negotiating the terms of financing grids, commitment letters, fee letters, term sheets, engagement letters, credit agreements, intercreditor agreements, agreements among lenders, purchase agreements, merger agreements, guarantees, security and pledge agreements, consent solicitations, notes, warrants, side letters, payoff letters, and legal opinions; supervising due diligence investigations and preparing and reviewing question lists; providing legal advice on structuring terms related to corporate financing transactions; and anticipating, identifying, assessing, managing, and advising on risks and issues associated with financings with emphasis on fatal flaw analysis.
