Cahill Represents Deal Managers in $5.5 Billion Exchange Offer for Comcast & NBCUniversal

Cahill represented the dealer managers in connection with Comcast Corporation’s and NBCUniversal’s $5.5 billion exchange offer of new Comcast senior notes for nine existing series of senior notes of Comcast Corporation and NBCUniversal.
In connection with the exchange offer, Comcast Corporation issued the three new series of senior notes in exchange for old notes which were the Comcast (i) 6.95% senior notes due 2037, (ii) 6.55% senior notes due 2039, (iii) 6.4% senior notes due March 1, 2040, (iv) 6.45% senior notes due 2037, (v) 6.4% senior notes due 2038, (vi) 6.5% senior notes due 2035 and (vii) 5.65% senior notes due 2035 and NBCUniversal (i) 5.95% senior due 2041 and (ii) 6.4% senior notes due April 30, 2040. The new notes issued in the exchange were issued by Comcast Corporation. The three series of new senior notes issued were $2,000,000,000 aggregate principal amount of 3.969% senior notes due 2047, $1,999,999,000 aggregate principal amount of 3.999% senior notes due 2049, and $1,499,967,000 aggregate principal amount of 4.049% senior notes due 2052.
